TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) are entered into between Consult Solutions, a human resource consultancy firm registered in South Africa, and the client (“Client”) engaging our services. 

By engaging our services, the Client agrees to be bound by the following terms and conditions:

• Services: 

1. 1. 1. Consult Solutions will provide human resource consultancy services as agreed upon with the Client. These services may include but are not limited to: – Talent acquisition and recruitment – Employee training and development – Performance management – HR policy and procedure development – Compensation and benefits consulting – Employee relations and conflict resolution – HR compliance and legal advice. 
      2. The specific scope of services, timelines, and fees will be agreed upon between Consult Solutions and the Client in a separate written agreement.

• Confidentiality: 

1. 1. 1. Consult Solutions acknowledges that it may have access to confidential information belonging to the Client during the provision of services. 
      2. Consult Solutions agrees to maintain the confidentiality of all Client information and shall not disclose it to any third party without the Client’s prior written consent, except as required by law.

• Client Responsibilities: 

1. 1. 1. The Client shall cooperate with Consult Solutions and provide all necessary information, access to relevant systems, and documentation required to perform the agreed-upon services. 
      2. The Client acknowledges that Consult Solutions’s ability to deliver services effectively depends on timely accurate information and active involvement from the Client’s side.

• Fees and Payments: 

1. 1. 1. The Client agrees to pay Consult Solutions the fees as agreed upon in the separate written agreement or as otherwise communicated by Consult Solutions. 
      2. Unless otherwise specified, all fees and charges are quoted in South African Rand (ZAR) and are inclusive of any applicable taxes, which shall be the responsibility of the Client. 
      3. Payment of fee will be made in advance, paid on the 1st of the month for services rendered in that month. 
      4. Failure to make payments within the agreed-upon timeframe may result in the suspension or termination of services.

• Termination: 

1. 1. 1. Either party may terminate the services by providing 1 months’ notice in writing to the other party. 
      2. In the event of termination, the Client shall be responsible for paying any outstanding fees for services rendered up to the date of termination.

• Governing Law and Jurisdiction: 

1. 1. 1. This Agreement shall be governed by and construed in accordance with the laws of South Africa. 
      2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of South Africa.

• Subscription Services: 

1. 1. 1. Consult Solutions will provide access to the specified subscription-based services as described on our website or as otherwise communicated to Subscribers. 
      2. The specific details of the services, including features, pricing, and subscription plans, will be outlined on our website or in a separate agreement.

• Subscription Agreement: 

1. 1. 1. Subscribers agree to enter into a subscription agreement with Consult Solutions for the duration and terms of 12 months or specified upon subscription. 
      2. The subscription agreement may include details regarding subscription plans, pricing, payment terms, billing cycles, termination, and other relevant terms.

• Subscription Fees and Payments: 

1. 1. 1. Subscribers agree to pay the applicable subscription fees as outlined in the subscription agreement or as specified on our website. 
      2. Subscription fees are typically billed on a recurring basis according to the chosen billing cycle (e.g., monthly, annually). 
      3. Subscription fees are paid in advance. 
      4. Payment methods, such as credit cards, online payment gateways, or other accepted methods, will be specified on our website or in the subscription agreement.

• Automatic Renewal: 

1. 1. 1. Unless otherwise specified, subscriptions will automatically renew at the end of each billing cycle. 
      2. Subscribers acknowledge and agree that the subscription fees for each renewal period will be automatically charged using the payment method provided unless the Subscriber cancels the subscription prior to the renewal date.

• Cancellation and Refunds: 

1. 1. 1. Subscribers may cancel their subscription at any time by following the cancellation process outlined on our website or in the subscription agreement. 
      2. No refunds for prepaid or other subscription fees will be provided. 
      3. No refunds will be issued for the unused portion of a subscription term if the Subscriber cancels after the renewal date or for any partial months of service.

• Subscriber Responsibilities: 

1. 1. 1. Subscribers are responsible for providing accurate and up-to-date information during the subscription process. 
      2. Subscribers agree to use the subscription services in accordance with applicable laws, regulations, and these terms and conditions. 
      3. Subscribers are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

• Intellectual Property: 

1. 1. 1. All intellectual property rights related to the subscription services provided by Consult Solutions, including software, content, and any materials, remain the property of Consult Solutions. 
      2. Subscribers agree not to reproduce, modify, distribute, or create derivative works based on the subscription services without prior written permission from Consult Solutions.
      3. The Templates are the intellectual property of Consult Solutions and are protected by copyright and other intellectual property laws.
      4. Users acknowledge and agree that the Templates and any associated materials, including but not limited to designs, graphics, and text, are the property of Consult Solutions or its licensors.

• Limitation of Liability: 

1. 1. 1. Consult Solutions shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the subscription services. 
      2. Consult Solutions’ liability, if any, shall be limited to the total subscription fees paid by the Subscriber for the specific subscription period giving rise to the liability.
      3. Consult Solutions shall exercise reasonable care and skill in the provision of services. However, Consult Solutions shall not be liable for any loss, damage, or injury incurred by the Client arising out of or related to the services provided, except in cases of gross negligence or wilful misconduct. 
      4. In no event shall Consult Solutions’s liability exceed the total fees paid by the Client for the specific services giving rise to the liability.

• Modifications to Terms and Conditions: 

1. 1. 1. Consult Solutions reserves the right to modify or update these Terms and Conditions at any time. Subscribers will be notified of any material changes, and continued use of the subscription services after the effective date of the changes constitutes acceptance of the modified terms.

• Grant of License: 

1. 1. 1. Consult Solutions grants Users a non-exclusive, non-transferable license to use the Templates for personal or commercial purposes, subject to the restrictions and limitations set forth in this Agreement. 
      2. The license granted is limited to the use of the Templates and does not include the right to reproduce, modify, distribute, or create derivative works based on the Templates.

• Permitted Use: 

1. 1. 1. Users may download, modify, and use the Templates for personal or commercial purposes in accordance with the intended use of each Template. 
      2. Users may not resell, distribute, sublicense, or share the Templates with third parties, except as explicitly permitted by Consult Solutions.

• No Warranty: 

1. 1. 1. The Templates are provided “as is” without any warranties, express or implied. Consult Solutions does not guarantee the accuracy, completeness, or suitability of the Templates for any particular purpose. 
      2. Consult Solutions disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

• Indemnification: 

1. 1. 1. Users agree to indemnify and hold Consult Solutions harmless from any claims, damages, liabilities, or expenses arising out of or in connection with the use of the Templates or any violation of this Agreement by Users.

• Entire Agreement: 

1. 1. 1. This Agreement constitutes the entire agreement between Consult Solutions and the Client regarding the provision of human resource consultancy services and supersedes any prior agreements, understandings, or representations, whether written or oral.

By engaging our services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
